Terms and Conditions

These Terms & Conditions (“Terms”) govern all business-to-business transactions and the use of products, services, and content provided by DJM B.V. (“DJM”) with its registered office at Nobelstraat 38, 3846 CG Harderwijk, The Netherlands. By entering into a transaction or using our services, the customer agrees to be bound by these Terms.

• Customer: Any legal entity or business purchasing products or services from DJM.
• Products: Any hardware, software, modules, or other goods supplied by DJM.
• Services: Any consulting, support, integration, or related services provided by DJM.

All orders are subject to written acceptance by DJM. DJM reserves the right to reject any order for any reason. Quotations and offers are valid for 30 days unless otherwise stated. Any changes requested by the Customer must be confirmed in writing.

• Delivery dates are indicative and not guaranteed. DJM shall not be liable for delays caused by circumstances beyond its reasonable control.
• Risk of loss or damage to Products passes to the Customer upon delivery to the carrier or Customer, whichever occurs first.
• Shipping, packaging, and handling costs are the responsibility of the Customer unless explicitly agreed otherwise.

• All intellectual property rights, including patents, trademarks, copyrights, designs, and software, remain the exclusive property of DJM or its licensors.
• No license or right under any DJM intellectual property is granted except as expressly agreed in writing.
• Customer shall not reproduce, modify, reverse engineer, or distribute any Product or documentation without DJM’s prior written consent.

All confidential or proprietary information exchanged between DJM and the Customer shall be subject to a separate NDA or confidentiality agreement. Customer shall not disclose or use DJM’s confidential information except as necessary for the performance of these Terms.

These Terms shall be governed by and construed in accordance with the laws of The Netherlands. Any disputes arising out of or in connection with these Terms shall be submitted exclusively to the competent courts of The Netherlands.

DJM shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, labor disputes, supply chain disruptions, power outages, or governmental actions.

• If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force.
• These Terms constitute the entire agreement between DJM and the Customer regarding the subject matter and supersede all prior agreements or communications.
